Terms of Service

1. Acceptance of Terms

By creating an account or accessing Sofondo Sens (the "Service"), you agree to be bound by these Terms. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

2. The Service

Sofondo Sens is a Software Asset Management (SAM) platform designed to help organizations track software licenses, subscriptions, and usage.

  • No Credential Storage: The Service is strictly for asset tracking and management. It is not designed to function as a password manager. You agree not to input sensitive third-party credentials (passwords, secret API keys) into the descriptive fields of the Service.
  • Modifications: We may update the features or functionality of the Service at any time. We will provide notice of material changes.

3. Subscription Tiers & Payment

  • Tiers: The Service is offered in three primary tiers: Single User, Pro Team, and Enterprise.
  • Free Trial: New accounts receive a 14-day free trial with full access to features. No credit card is required to start.
  • Fees: Fees are billed in advance on a monthly or annual basis and are non-refundable.
  • Downgrades: If you downgrade from a higher tier, you may lose access to certain features or capacity at the start of your next billing cycle.
  • Payment Processing: Payments are processed by our third-party payment provider, Paddle. By subscribing, you also agree to Paddle's terms of service.

4. User Responsibilities

  • Account Security: You are responsible for maintaining the confidentiality of your login credentials. You are responsible for all activities that occur under your account.
  • Data Accuracy: You are responsible for the accuracy of the asset data entered into the Service.
  • Prohibited Use: You may not use the Service to:
    • Store illegal content
    • Engage in unauthorized technical monitoring
    • Attempt to gain unauthorized access to other accounts or systems
    • Use the Service for any purpose other than software asset management

5. Support & Service Levels

Support response times and methods vary by tier:

  • Single User: Email support with standard response times
  • Pro Team: Priority email support with faster response times
  • Enterprise: VIP support including 1:1 founder onboarding and priority assistance

We strive for high uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible.

6. Data & Privacy

  • Your Data: You retain all rights and ownership of the data you upload. You grant us a limited license to host, copy, and display your data solely as necessary to provide the Service to you.
  • Data Security: We implement industry-standard security measures including encryption and strict data isolation to protect your data.
  • Privacy Policy: Our collection and use of personal information is governed by our Privacy Policy.

7. Integrations

The Service may integrate with third-party services (such as Google Workspace) to provide discovery features:

  • You authorize the Service to access data from connected integrations as described at the time of connection.
  • You are responsible for ensuring you have the authority to connect organizational accounts.
  • We access only the minimum data necessary to provide the integration features.

8. Intellectual Property

  • Our Property: The Service, including its design, code, features, and documentation, is owned by Sofondo and protected by intellectual property laws.
  • Your Data: You retain all rights to your data. We claim no ownership over asset information, notes, or other content you input.
  • Feedback: If you provide feedback or suggestions about the Service, you grant us the right to use that feedback without obligation to you.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant that any defects will be corrected or that the Service will meet your specific requirements.

10. Limitation of Liability

IN NO EVENT SHALL SOFONDO SENS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Sofondo, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights

12. Termination

  • By You: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.
  • By Us: We may terminate or suspend your account if you violate these Terms or engage in conduct that we determine is harmful to other users or the Service.
  • Effect of Termination: Upon termination, your right to use the Service ceases. Your data is retained for 3 months to allow for reactivation, then permanently deleted.

13. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware, and you consent to the jurisdiction of such courts.

15. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Sofondo regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.
  • Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights without restriction.
